Agreement to these terms These Terms of Use ("Terms") govern your access to and use of the LifeSummary platform, including lifesummary.ai and any related pages, content, and materials we make publicly available, the LifeSummary SMS Support text messaging program described in Section 18 (the "SMS Program"), and any other features or communication channels we make available to you (together, the "Platform"). The Platform is operated by LifeSummary AI LLC, a Delaware limited liability company ("LifeSummary," "we," "us," or "our"). By accessing or using the Platform, including by enrolling in the SMS Program, you agree to these Terms and to our [Privacy Policy](https://www.lifesummary.ai/privacy?hsLang=en). If you are using the Platform on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use the Platform. ## 2. The Platform and Customer Agreements Some parts of the Platform, such as our website and the SMS Program, are available to the public under these Terms. Organizational access to PersonaGraph, including its APIs and AI agents (the "Services"), is available only to organizations that have signed a written agreement with us (a "Customer Agreement"). If you access the Services under a Customer Agreement, that agreement governs your use of the Services. If anything in these Terms conflicts with a Customer Agreement, the Customer Agreement controls. Nothing in these Terms grants you any right to use the Services. ## 3. Eligibility You must be at least 18 years old and able to form a binding contract to use the Platform. The Platform is intended for use in the United States. Our website is intended for business audiences, and the SMS Program has additional eligibility requirements described in Section 18. ## 4. Permitted use Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purposes, such as learning about our products, evaluating a business relationship with us, or, if you are enrolled in the SMS Program, getting general information about your benefits. ## 5. Prohibited conduct You agree not to: - Use the Platform in violation of any applicable law or regulation - Submit protected health information, benefits enrollment records, Social Security numbers, financial account numbers, or other sensitive personal information through website forms, the SMS Program, or general contact channels - Scrape, crawl, harvest, or otherwise collect content or data from the Platform by automated means, except for standard search engine indexing that complies with our robots.txt file - Use Platform content to train, fine-tune, or evaluate any machine learning or AI model without our prior written consent - Attempt to gain unauthorized access to the Platform, the Services, our systems, or any account, or probe, scan, or test the vulnerability of any system without authorization (see Section 6 for how to report security issues) - Interfere with or disrupt the Platform, including by introducing malware or imposing an unreasonable load on our infrastructure - Copy, modify, distribute, sell, or create derivative works from the Platform, except as expressly permitted by these Terms - Reverse engineer, decompile, or attempt to derive the source code of any software made available through the Platform - Frame or mirror our website, or use our names, logos, or trademarks without our prior written consent - Impersonate any person or organization, or misrepresent your affiliation with any person or organization - Use the Platform to develop or market a competing product or service ## 6. Security research and vulnerability reporting We welcome good-faith reports of security vulnerabilities. Please send reports to [legal@lifesummary.ai](mailto:legal@lifesummary.ai) and do not publicly disclose the issue until we have had a reasonable opportunity to address it. Good-faith research must avoid accessing, modifying, or deleting data that does not belong to you, must not degrade the Platform or Services, and must stop immediately upon encountering any personal or customer data. Testing against the Services requires our prior written authorization. ## 7. Intellectual property The Platform and its content, including text, graphics, logos, software, designs, and the names "LifeSummary" and "PersonaGraph," are owned by LifeSummary or its licensors and are protected by intellectual property laws. Except for the limited license in Section 4, no rights are granted to you, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved. ## 8. Feedback If you send us suggestions, ideas, or other feedback about the Platform or our products ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that Feedback for any purpose without obligation to you. Do not send us Feedback that you consider confidential or proprietary. ## 9. No professional advice Content on the Platform, including descriptions of our AI capabilities, responses provided through the SMS Program, and any examples, demonstrations, or sample outputs, is provided for general informational purposes only. It is not medical, legal, tax, financial, insurance, or benefits advice, and it does not create any professional relationship. AI-generated outputs can be incomplete or inaccurate. Official plan documents, including Summaries of Benefits and Coverage and Summary Plan Descriptions, govern benefits and coverage in all cases. Consult a qualified professional before making decisions based on any information provided through the Platform. ## 10. Forward-looking statements and product information The Platform may describe features, integrations, and capabilities. Descriptions of products or features not yet generally available are not commitments to deliver them, and you should not rely on them in making purchasing decisions. Our public change log at lifesummary.ai/changelog is the authoritative record of changes deployed to the Services. ## 11. Third-party links and services The Platform may contain links to third-party websites or services. We do not control and are not responsible for their content, policies, or practices. Your use of third-party sites is at your own risk and subject to their terms. Our website uses Microsoft Clarity, a third-party analytics service, to understand how visitors use the website. Clarity is used only on our website. It is not used in the SMS Program or the Services. Our [Privacy Policy](https://www.lifesummary.ai/privacy?hsLang=en) describes the information Clarity collects and how Microsoft uses it. ## 12. Disclaimer of warranties THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. ## 13. Limitation of liability TO THE FULLEST EXTENT PERMITTED BY LAW, LIFESUMMARY AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, ADVISORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). THIS SECTION DOES NOT LIMIT LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW, AND IT DOES NOT APPLY TO THE SERVICES, WHICH ARE GOVERNED BY THE APPLICABLE CUSTOMER AGREEMENT. ## 14. Indemnification You agree to defend, indemnify, and hold harmless LifeSummary and its members, managers, officers, employees, advisors, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of these Terms or your misuse of the Platform. ## 15. Governing law and venue These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Platform will be brought exclusively in the state or federal courts located in Maricopa County, Arizona, and you and LifeSummary consent to the personal jurisdiction of those courts. Either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or confidential information. ## 16. Suspension and termination We may suspend or terminate your access to the Platform, including your enrollment in the SMS Program, at any time, without notice, for any conduct that we believe violates these Terms or is harmful to us, our customers, or others. Sections 7 through 17, and the "Carrier disclaimer" and "Informational responses only" provisions of Section 18, survive any termination. ## 17. General **Changes to these Terms.** We may update these Terms from time to time. We will post the updated Terms on our website and change the "Last updated" date above. Material changes will also be noted on our change log. Your continued use of the Platform after the updated Terms take effect constitutes acceptance. **Changes to the Platform.** We may modify, suspend, or discontinue any part of the Platform at any time. **Entire agreement.** These Terms and our Privacy Policy are the entire agreement between you and LifeSummary regarding the Platform. They do not modify any Customer Agreement. **Severability and waiver.** If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of our right to do so later. **Assignment.** You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. **Export compliance.** You may not access or use the Platform in violation of U.S. export control or sanctions laws. ## 18. SMS / Text Messaging Terms **Program description.** LifeSummary SMS Support (the "SMS Program") is a two-way text messaging service operated by LifeSummary AI, LLC that lets enrolled participants text questions about employee benefits, health plan coverage, and HR-related topics and receive automated informational responses. **How to enroll.** You may enroll by texting JOIN, SUBSCRIBE, or PGSUPPORT to 385-304-3843 and then replying Y to the confirmation message you receive. By texting one of these keywords and replying Y to confirm, you agree to receive recurring automated text messages from LifeSummary AI, LLC related to the SMS Program. Consent is not a condition of any purchase or of employment. **Message frequency and rates.** Message frequency varies. Message and data rates may apply according to your mobile carrier plan. **Opting out.** Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT at any time to stop receiving messages. After you opt out, you will receive one confirmation message and no further messages unless you enroll again. **Help.** Reply HELP for assistance, or contact [legal@lifesummary.ai](mailto:legal@lifesummary.ai). **Carrier disclaimer.** Mobile carriers are not liable for delayed or undelivered messages. **Eligibility.** You must be at least 18 years old, located in the United States, and the account holder of the mobile number you enroll, or have the account holder's permission. **Informational responses only.** Responses in the SMS Program are generated with the assistance of artificial intelligence and are provided for general informational purposes only. They do not constitute medical, legal, tax, or financial advice and do not guarantee coverage or benefits. Confirm important details with your plan administrator or HR department. **Do not send sensitive information.** Text messaging is not a secure channel. Do not send Social Security numbers, medical records, health information, account passwords, or other sensitive personal information through the SMS Program. **Privacy.** Our collection and use of information through the SMS Program is described in the SMS / Text Messaging Program section of our [Privacy Policy](https://www.lifesummary.ai/privacy?hsLang=en). ## 19.
